Terms and Conditions

These Terms and Conditions (“Terms”) are an agreement between you and 1001105082 ONTARIO INC., an Ontario corporation operating as Keepsake Messages (“Keepsake Messages”, “we”, “us”, or “our”).
Keepsake Messages provides digital audio guestbooks for weddings, celebrations and events. By purchasing, accessing or using a guestbook, you agree to these Terms.
What you are buying
One purchase provides one Keepsake Messages guestbook for one wedding, celebration or event.
Your guestbook includes:
- A personalized guest page that guests can access using a link or QR code.
- The ability for guests to record and submit voice messages.
- Automatic audio enhancement for submitted recordings.
- A private library where you can listen to and manage recordings.
- The ability to download recordings during your access period.
- The recording capacity included with the plan you selected at purchase.
The price, recording capacity and features included with your guestbook are shown before you complete your purchase.
Payment for a guestbook is a one-time payment unless otherwise clearly stated at checkout. There is no recurring subscription.
A separate celebration or unrelated event requires a separate guestbook unless we expressly state otherwise.
Recording capacity and top-ups
Your guestbook includes the recording capacity shown for the plan you selected at the time of purchase.
You may purchase additional recording capacity through available message top-ups at any time while your guestbook is active, whether or not you have reached your current recording limit.
Additional capacity is added to the guestbook for which the top-up was purchased.
If your guestbook reaches its recording capacity, it may stop accepting additional recordings until capacity becomes available or additional capacity is purchased.
Deleting a recording may make that capacity available again where supported by the service.
Top-ups are purchased at the price displayed at the time of purchase and cannot normally be transferred between guestbooks.
Your account
You must be at least 18 years old, or the age of majority where you live, and legally capable of entering into this agreement to purchase a guestbook.
You sign in using a secure link or other authentication method associated with your email address.
You are responsible for:
- Maintaining access to the email address associated with your account.
- Keeping access to your account secure.
- Activity performed through your account.
- Anyone you knowingly allow to access or manage your guestbook.
Please contact us promptly if you believe somebody has gained unauthorized access to your account.
Voluntary 5-day satisfaction guarantee
Keepsake Messages voluntarily provides a 5-day satisfaction guarantee so you can set up and evaluate your guestbook before using it for your wedding or event.
If you are not satisfied with your guestbook, you may request a full refund within 5 days of the original purchase, subject to the eligibility requirements below.
Eligibility
The voluntary 5-day satisfaction guarantee no longer applies if:
- Your guestbook has been used to collect voice messages from guests or event attendees.
- You have downloaded or exported guest recordings.
- Your guestbook has been used at a wedding, celebration or other event.
Test recordings made by the account owner solely for setting up or evaluating the guestbook do not affect eligibility.
Refund requests
Refund requests must be submitted within 5 days of the original purchase through our Support page.
We may review account and guestbook activity where reasonably necessary to determine whether the eligibility requirements have been met.
We may deny a request where we reasonably believe that the guarantee has been abused or that its eligibility requirements have not been satisfied.
The voluntary satisfaction guarantee is limited to one refund per customer. It is intended to allow you to evaluate Keepsake Messages before using it at an event and is not intended to provide free use of the service for an event.
Approved refunds
Approved refunds are returned to the original payment method used for the purchase.
Access to the associated guestbook will end following a refund. Content associated with a refunded guestbook may also be deleted and may no longer be recoverable.
Your statutory consumer rights
Our 5-day satisfaction guarantee is voluntary and exists in addition to any consumer rights provided to you by applicable law.
If the laws where you live provide mandatory cancellation, withdrawal, refund, conformity or other consumer rights, those rights are not limited or replaced by this guarantee or by these Terms.
Nothing in these Terms excludes or restricts a consumer right that cannot legally be excluded or restricted.
Who owns guest recordings
Keepsake Messages does not claim ownership of guest recordings or other content submitted through a guestbook.
You retain any rights you have in content you add to your guestbook.
You grant us the limited rights necessary to host, store, reproduce, transmit and process content submitted through your guestbook for the purpose of providing, maintaining and securing the service.
Guest recordings are handled in accordance with our Privacy Policy and the information presented to guests when they use the recording experience.
We do not publish guest recordings or use them for advertising or marketing.
Audio enhancement
Guest recordings are automatically sent for audio processing after they are submitted. This processing is designed to reduce background noise and improve voice clarity.
To provide this feature, recordings may be securely transmitted to third-party audio-processing providers acting as part of our service.
Audio enhancement cannot guarantee a particular result. The quality of an enhanced recording depends on factors including the original recording, background noise, the guest’s device, microphone, surroundings, connectivity and other technical conditions.
In some cases, audio enhancement may be delayed, unavailable or unsuccessful because of a processing, connectivity or technical issue.
If a recording does not appear to have been enhanced correctly, please contact us through our Support page and we will investigate the issue.
A failed or incomplete enhancement does not necessarily mean that the original recording has been lost. Where available, we may retain or provide access to the original recording separately from an enhanced version.
Your guests and your responsibilities
You decide how and where your guestbook is used, who you invite to participate, what prompts or questions are shown, and where you display your guestbook link or QR code.
You are responsible for using the service lawfully in connection with your event.
By using Keepsake Messages, you agree that:
- You will make guests reasonably aware that they are submitting a voice recording.
- You will not use Keepsake Messages to secretly record people.
- You will obtain any permission or consent required by the laws applicable to your event.
- You will only add names, wording, images, questions and other content that you have the right to use.
- You will not use your guestbook to infringe another person’s privacy, intellectual property or other legal rights.
- You will reasonably cooperate with us if a privacy or legal request relates to content collected through your guestbook.
Guests may be asked to provide a name with a recording. Names are provided by guests themselves and are not verified by Keepsake Messages. A name associated with a recording should therefore not be treated as proof of a person’s identity.
If a guest asks you to remove a recording, you can use the tools available in your guestbook to delete it.
A guest may also contact Keepsake Messages directly regarding their personal information. We will process privacy requests in accordance with our Privacy Policy and applicable law and may contact you where reasonably necessary to locate or address information associated with your guestbook.
Our Privacy Policy explains in more detail how personal information is handled and how customers and guests can request access, correction, deletion or other applicable privacy rights.
Third-party services
Keepsake Messages relies on third-party service providers to operate parts of the service.
These may include providers of:
- Cloud hosting, databases and file storage.
- Audio processing and enhancement.
- Payment processing.
- Transactional email.
- Website infrastructure, security and performance services.
We may transmit information to these providers where reasonably necessary to operate the service.
Our Privacy Policy provides more information about how personal information may be processed by service providers and across different jurisdictions.
We are not responsible for services that you independently choose to use outside Keepsake Messages.
Things you must not do
You may not:
- Use Keepsake Messages to record people without their knowledge where such recording is unlawful.
- Submit or encourage unlawful, threatening, abusive, hateful, defamatory or harassing content.
- Submit content that infringes another person’s intellectual property, privacy or other rights.
- Use the service for fraud, impersonation or unlawful activity.
- Attempt to gain unauthorized access to another customer’s guestbook, account or recordings.
- Probe, attack, disrupt, overload or interfere with the security or operation of the service.
- Attempt to bypass recording, capacity, access or technical restrictions.
- Resell, sublicense, copy or present Keepsake Messages as your own service without our written permission.
- Use one guestbook across unrelated events in order to avoid purchasing separate guestbooks.
We may suspend, restrict or remove a guestbook where we reasonably believe these Terms have been violated, where necessary to protect our users or systems, or where required by law.
Where appropriate and reasonably possible, we will provide notice and an opportunity to resolve the issue.
What the service needs to work
Guests need a compatible device with a working microphone, a supported web browser and an internet connection.
Access through QR codes also normally requires a device with a camera or another way to open the guestbook link.
Recording and uploading audio depends on the guest’s device, browser, internet connection and venue connectivity.
We are not responsible for recordings that are never successfully submitted because of:
- Poor or unavailable internet connectivity.
- Device or microphone problems.
- Browser restrictions or incompatibility.
- A guest leaving or closing the page before a recording finishes uploading.
- Other circumstances outside our reasonable control.
We recommend testing the guestbook and internet connectivity at your venue before your event.
How long your guestbook lasts
Your purchase includes 12 months (365 days) of access to your guestbook beginning on the date of purchase unless a different period is expressly stated when you buy it.
During your access period, you can manage your guestbook and download available recordings.
At the end of the access period, access to the guestbook ends and the guestbook will no longer accept new recordings.
The guestbook and associated recordings will then be deleted in accordance with our data-retention procedures.
Once recordings have been permanently deleted from our systems, they cannot be recovered.
You are responsible for downloading any recordings you wish to keep before your access period ends. We recommend downloading important recordings shortly after your event rather than waiting until the end of your access period.
Some information, such as transaction or accounting records, may be retained for longer where required by law or reasonably necessary for legal, security, tax or accounting purposes, as described in our Privacy Policy.
Deleting a guestbook or recording early
You may delete individual recordings using the controls available in your guestbook.
If you want to request deletion of your entire guestbook or other personal information before the end of the normal access period, you may submit a request through our Support page.
Privacy-related deletion requests are handled in accordance with our Privacy Policy and applicable law.
Deleting a guestbook or recording does not automatically entitle you to a refund.
Availability and backups
We aim to keep Keepsake Messages available and reliable, but no online service can guarantee uninterrupted or error-free operation.
The service may occasionally be unavailable because of maintenance, upgrades, third-party outages, network failures, security incidents or technical problems.
We may also make reasonable changes to the technical operation of the service over time.
Your recordings may be irreplaceable. While your guestbook remains active, we strongly recommend downloading and securely keeping your own copies of recordings that matter to you.
Keepsake Messages should not be treated as the only permanent archive of your recordings.
Our website and service
Keepsake Messages and its website, software, design, branding, logos, templates and other materials provided by us are owned by us or licensed to us and are protected by applicable intellectual property laws.
Purchasing a guestbook gives you a limited right to use the service for its intended purpose during your access period. It does not transfer ownership of the Keepsake Messages software, brand, website or other intellectual property to you.
You may use QR codes, printable materials and other assets we provide for the purpose of operating and promoting your own guestbook and event.
Suspension and termination
You may stop using Keepsake Messages at any time.
We may suspend or terminate access where reasonably necessary because:
- You materially violate these Terms.
- Your use creates a security or legal risk.
- Payment is reversed, disputed or fraudulent.
- We are required to do so by law.
- Continuing to provide the service has become technically or legally impossible.
Termination does not affect any rights or obligations that arose before termination.
Where termination is caused by our decision to discontinue the service rather than by your breach, we will take reasonable steps to address any remaining paid service obligations in accordance with applicable law.
Liability
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
This includes any liability that applicable law does not permit us to exclude, including liability for fraud or fraudulent misrepresentation and, where applicable, death or personal injury caused by negligence.
To the extent permitted by law:
- Keepsake Messages is provided on an “as is” and “as available” basis.
- We do not guarantee uninterrupted operation or that every recording or enhancement will be successful.
- We are not responsible for indirect, incidental, special or consequential losses that were not reasonably foreseeable.
- We are not responsible for losses caused by circumstances outside our reasonable control, including failures of a guest’s device, internet connection or third-party network.
- Our total liability arising out of a guestbook will not exceed the amount you paid us for the guestbook giving rise to the claim.
These limitations do not apply where applicable consumer law does not permit them.
Your responsibility for claims
To the extent permitted by applicable law, you are responsible for claims, losses or reasonable costs resulting from your unlawful use of the service or your material breach of these Terms, including claims arising because you intentionally collected content without required permission or submitted content you had no right to use.
You are not responsible under this section for losses caused by Keepsake Messages’ own breach of these Terms, negligence or violation of law.
Changes to the service
Keepsake Messages will continue to evolve.
We may add, remove or change features, interfaces, service providers or technical functionality where reasonably necessary to improve, maintain, secure or operate the service.
We will not intentionally remove a material part of a paid guestbook in a way that deprives you of the core service you purchased without providing an appropriate remedy where required by law.
Changes to these Terms
We may update these Terms from time to time.
The “Last updated” date at the top tells you when these Terms were most recently revised.
If we make a material change that affects customers with active guestbooks, we may provide additional notice, such as by email or through the service.
Unless required by law or expressly agreed with you, a later version of these Terms will not retroactively change the material terms of a purchase you already completed.
Privacy
Our Privacy Policy explains how Keepsake Messages collects, uses, shares, stores and protects personal information and how customers and guests can exercise applicable privacy rights.
By using the service, you acknowledge that personal information will be handled as described in our Privacy Policy.
Governing law
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.
To the extent permitted by applicable law, disputes relating to these Terms or Keepsake Messages are subject to the jurisdiction of the courts of Ontario, Canada.
Nothing in this section limits any mandatory consumer protection, choice-of-law, jurisdiction or dispute-resolution rights that you have under the laws applicable where you live.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
Entire agreement
These Terms, together with the Privacy Policy and any terms expressly presented to you at checkout, form the agreement between you and Keepsake Messages relating to your purchase and use of the service.
If specific terms shown at checkout conflict with these Terms regarding the price, capacity or features of the guestbook you purchased, the terms presented for that purchase will control for those specific details.
